Typographical Errors

In the event that a Ayur-Sudha  product is mistakenly listed at an incorrect price or description, we reserve the right to refuse or cancel any orders placed for the product listed at the incorrect price. Ayur-Sudha  reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Ayur-Sudha  shall issue a refund to your credit card account in the amount of the incorrect price. The Customer assumes responsibility for any missed discounts, for any reason, due to price changes that may occur irrespective of the time duration. Ayur-Sudha  shall not be liable for any technical inaccuracies, typographical errors or graphical distortions of the products listed and technical and regulatory documents posted. User Agreement

Customers should purchase products from Ayur-Sudha  with a clear understanding that they are not intended and should not be used as a substitute to diagnose, treat, cure or prevent any illness or disease. The information provided is obtained from current and reliable sources but makes no representation as to its comprehensiveness or accuracy. Product information, and descriptions presented are for educational purposes only. It does not cover all possible uses, precautions, side effects and interactions. Please note, The International Federation of Aromatherapists do not recommend that Essential Oils be taken internally unless under the supervision of a Medical Doctor who is also qualified in clinical aromatherapy. Therefore, all products must be used at the Customer’s own discretion and only after referencing Material Safety Data Sheets, Certificate of Analysis and other relevant technical and regulatory documents specific to the product. Ayur-Sudha  shall not be held responsible for any damages to property or for any adverse physical effects (including bodily harm or injury) caused by insufficient knowledge or the improper use of a product. The user of the product is solely responsible for compliance with all laws and regulations applying to the use of the products, including intellectual property rights of third parties. As the ordinary or otherwise use(s) of this product is outside the control of Ayur-Sudha , no representation or warranty, expressed or implied, is made as to the effect(s) of such use(s) (including damage or injury), or the results obtained.

Manufacturers purchasing products from Ayur-Sudha  should avoid making any statements and claims that are false or misleading concerning Ayur-Sudha ‘s products. You must also comply with all laws, state, provincial and federal, regarding any statements made. As with any manufacturing process, Ayur-Sudha  requires that Customers conduct small lab scale testing of purchased products to determine their suitability and efficacy prior to full commercial manufacturing. Ayur-Sudha  under any circumstances shall not be held liable for any losses resulting from failure to do so. The Customer is solely responsible for determining the suitability of using the product that they purchase.

In no event shall Ayur-Sudha  be liable for any direct, indirect, incidental, consequential, special and exemplary damages, or any damages whatsoever, arising from the use or performance of this website or from any information, services or products obtained through this website, even if Ayur-Sudha  has been advised of the possibility of such damages.

Ayur-Sudha ‘s customers consist of two groups;

1) Retail Customers and 2) Professional Customers. The sale terms are different for each group. Retail Customers may purchase online without advance Ayur-Sudha  account approval. Prospective Professional Customers must establish an account prior to ordering online by registering. Please allow up to 72 hours for approval. To be approved for a Professional Customer Account with Ayur-Sudha , you must be engaged as a medical professional or practitioner of the healing arts and seeing patients or clients. Professional types include medical doctors, nurses, naturopaths, naturopathic physicians, chiropractors, oriental medical doctors, acupuncturists, nutritionists, herbalists, and similar health professions requiring licensing, registration, or certification. Approved Professional Customers may purchase on this Site at standard wholesale prices.

A. Retail Customer Sale Terms

• Please take care when shopping to carefully review the list of ingredients for anything you may be allergic too and statements advising caution, before ordering.
• All orders are shipped within 24 hours of ordering.
• Take care to select a shipping method to meet your deliver needs.
• Full payment is required on a valid credit card before the order will be shipped.
• You will be notified by email to confirm your order and the date of shipment.

AutoShip for Retail Customers

AutoShip services, with FREE* shipping, are available by registering and authorization your payment to be processed automatically by us and billed to the credit card on file for the amount required to reorder every 30 days. You understand and agree to not receiving notification of billing in advance nor email confirmation of credit card authorization or charge.  The credit card on file or used on your original order will be used for AutoShip services only. Additional shipping applied will be applied on all AutoShip services on orders shipped outside Canada. AutoShip services will notify you of any price changes to your order to obtain your authorization in advance. If you do not respond your order will not be shipped and the Automatic Shipping Service will be cancelled.

Refunds and Returns for Retail Customers

You acknowledge that by agreeing to these “Terms and Conditions of Use” that you have read and agree to the following Retail Customer Return Policy and Retail Customer Cancellation Policy.

Retail Customer Return Policy for Retail Customers

We offer a full “15 Day Money Back Guarantee” allowing you to return your purchase for any reason whatsoever, as long as you to return the product within 15 days of your receipt of your order for a full refund. To receive your refund, please return the unused product, a completed Return Authorization form, within 30 days of receipt of you product to the following address:

A credit will be made to your credit card after processing your return. Please allow at least one billing cycle on your credit card to verify your credit.  Shipping costs for returns are the responsibility of the customer.

Retail Customer Cancellation Policy

Once an order is placed online, it cannot be cancelled. All AutoShip must be cancelled prior to shipment of future orders.

B. Professional Customer Sale Terms

Professional Customer Pricing of any Ayur-Sudha  dietary supplement products may change at any time and without advance notice. Shipping carriers are selected by Ayur-Sudha  to provide the best possible service but are also subject to change without notice.

Returns and Credit for Professional Customers

Professional Customer returns are accepted within 30 days from the date ordered. Damaged products must be promptly reported to the Ayur-Sudha . Professional Customer returns must be accompanied by a Return Authorization Number provided by Ayur-Sudha  . Professional Customer returns must display the Return Authorization Number on the outside of the shipping package or envelop. Products returned without a visible Return Authorization may be refused by Ayur-Sudha  .

Professional Customer credit will be issues only after the products are returned. Professional Customer returned products are subject to a processing and handling fee of 15%. Professional Customers are responsible for return shipping costs.  Professional Customer will incur a restocking fee of 15% on orders where customer refuses to accept deliver, plus full shipping charges. These Sale Terms may be modified at any time.

Professional Customer Reselling of Ayur-Sudha  Products

(1) Ayur-Sudha ‘ Minimum Advertised Price (MAP) policy applies to any Professional Customer reselling Ayur-Sudha  products over the internet.
(2) The MAP is the price is the indicated for Ayur-Sudha  products on this Site for Retail Customers. The MAP price is set by Ayur-Sudha  for each product and is not open to negotiation.
(3) Any Ayur-Sudha  products marketed online with advertisement, discount, rewards program, coupon, special offer, sale, or promotion must not be result in the online shopping cart or check-out to reflect a price below the product’s MAP.
(4) Any marketing of Ayur-Sudha  products for below MAP pricing by calling into a call center shall violate this policy. Any violation of the MAP policy may result in restricting delivery of any future orders from any customer or suspension of the account.
 

Professional Customers Limited Use of Ayur-Sudha  Trademarks

Ayur-Sudha  provides for limited use of Ayur-Sudha   trademarks, only for internet use by authorised professional customers with an active Ayur-Sudha  customer account.  Trademarked images on products or other logo type images and copyright protected product descriptions can only be downloaded from this Site by active Ayur-Sudha   professional customers. Professional Customers agree to include the trademark symbol (™) and registered mark (®), as used on this Site, to properly display the Ayur-Sudha ’ ownership of its trademarks, names and products. Professional Customers shall not use any Ayur-Sudha  trademarks on any other product or copyrighted materials on a product not owned by Ayur-Sudha  .

(1) Professional Customers shall add the statement “Ayur-Sudha ‘s trademarks are used with permission” to any use of the Ayur-Sudha ’s trademarks. Professional Customers shall add the statement “Ayur-Sudha  does not own this web site nor is it responsible for the storage conditions of resold products which may reduce shelf-life.”

(2) Professional Customers shall use Ayur-Sudha ’s trademarks in a manor acceptable to Ayur-Sudha . Ayur-Sudha  shall reserve the right to demand changes to a customer’s web site using Ayur-Sudha ’s intellectual property either owned or under the control of Ayur-Sudha , even if prior approval or the customer’s web site has been accepted by Ayur-Sudha .

(3) Professional Customers shall not use Ayur-Sudha  or product name in any part of a Universal Resource Locator (URL) or secondary level domain name, keywords or metatags, or file names.

Professional Customer Medical or Disease Claims

Professional Customers shall take precautions to comply with the U.S. Food and Drug Administration (FDA) regulatory requirements regarding disease claims to protect customers and to protect Ayur-Sudha  and its products from being associated. Ayur-Sudha  products shall not be mentioned or displayed within at least two clicks of any disease claim.

Ayur-Sudha  shall reserve the right to demand changes to a Professional Customer’s web site using disease claim regarding a Ayur-Sudha  product, even if prior approval or the Professional Customer’s web site has been provided by Ayur-Sudha .

Ayur-Sudha  shall reserve the right to demand changes to a Professional Customer’s web site where Ayur-Sudha  products are used in statements or in any manner that violates regulations by the U.S. Government, the U.S. Food and Drug Administration, the U.S. Federal Trade Commission, or any regulations implemented by any other U.S. Federal or State agency, Canadian Government Agency,  or Health Canada. 

Professional Customers Limited Use of Ayur-Sudha  Logo

Use of the Ayur-Sudha  logo is limited to Internet use and in a form provided by Ayur-Sudha , including the name of the image or file name which may not be changed or modified.

The Ayur-Sudha ‘s logo may also include a statement substantially like “We offer [Ayur-Sudha  logo inserted here] products.” No other such statements may be associated with the Ayur-Sudha  logo type.

Professional Customer Reseller Policy Violations

Professional Customers who violate Ayur-Sudha ’s Reseller Policy shall receive notice of such violation stating that they are in violation and will have a 10-day period to make the necessary corrections, or be removed from active reseller customer status and with it the removal of the ability to purchase Ayur-Sudha  product and removal of the right to resell Ayur-Sudha  products from its web site.

A Professional Customer who responds by making the necessary corrections to its web site must notify Ayur-Sudha  to be reinstated to an Active Professional Customers Reseller status and must acknowledge and agree that any future breach of any portion of the Ayur-Sudha ’s Reseller Policy may result in immediate termination of the customer reseller account and without prior notification.

Failure of Ayur-Sudha ’s to implement enforcement procedures shall not be considered a waiver of any provision of the Ayur-Sudha ’s Reseller Policy nor from enforcement at a future date. The Ayur-Sudha ’s Reseller Policy may be revised at any time.

Return Policy

1. We have a 100% Customer Satisfaction Policy. Any item can be returned within 15 Days of receipt of shipment for a refund on the cost of goods (less shipping charges and applicable restock fee), if returned intact. Similarly, all returns must be received by us within 15 business days to qualify for a refund. Please note that items that are indicated as samples or final sale cannot be returned, refunded, or exchanged.
2. If an error has been made by us on a written order, we will gladly pay for re-shipment. All errors arising from miscommunication on verbal orders will be the sole responsibility of the customer and they will be accountable for return freight. Please submit orders in writing whenever possible.
3. All returns are to be sent to our Canadian Office for assessment. The statement ‘Goods Returning to Manufacturer’ must be stated on all packages. All returns must be shipped by ground Postal Service. If returned by any other shipping method, customers will be responsible for any surplus charges.
4. All subjective returns must be returned in saleable condition. There is no refund on return freight. Partially used products will not be credited. If we do not receive the merchandise or if it is damaged, we will not issue a refund or credit.
5. Products that are returned due to quality issues will be refunded or credited ONLY after a quality control inspection is carried out on the returned item(s) as per our specifications. Any item that has been used, mixed, diluted or altered in any manner whatsoever will not be accepted for return, refund or credit. Similarly the cost of the return freight will only be refunded if the quality of the returned item(s) was deemed defective by our Quality Department.
6. If the cost of a returned item is $5 or less, a credit will be applied to the customer’s account. There will be no refund or replacement for that product.
7. Refunds or credits for any reason can take up to 2 weeks to process, depending upon the volume of returns. From the date you receive our credit memo by email, refunds may take up to 8-10 business days for your financial institution to process before appearing on your statement.

You may return any item purchased from the Ayur-Sudha .ca for any reason within fifteen (15) days of purchase. for online and catalog orders, the product ship date is the date of purchase. Shipping and handling charges are non-refundable. The Ayur-Sudha  reserves the right, at its sole discretion, to reject any return that does not comply with these requirements.

Ordering Guidelines for Herbal Extracts and Essential Oils

1. You may place your order on-line, by fax at, or by phone at.
2. We update our website on a daily basis. Due to the volatile nature of the essential oils market, our price commitment is limited to the date on which the order was placed.
3. At all times, prices are effective on the date of your order only. Discounts or coupons that were not valid on the date of your order, cannot be applied.
4. Any orders over $5,000.00 must be paid by Wire Transfer, Certified Cheque, E-mail Transfer or Direct Deposit.
5. Please ensure that all orders are accurate prior to finalizing and submitting them online.
6. Once an order has been confirmed we will not accept any additions or deletions. Should you wish to have any item removed after the order has been packed, a restocking fee will be applied to cover the cost of removing the item(s) and repacking the order. The fee will be $10.00 or 20% of the cost of the items removed, whichever is the greater amount. Any additions will be treated as a new order with all applicable guidelines.
7. All orders must be checked immediately upon receipt so that any discrepancies may be addressed. In the event of an error, a photograph of the product with its label and lot number clearly showing should be immediately sent to  with your Order number.

Pickup Orders

1. Pick-up orders are on a pre-paid basis only.

2. Orders must be placed 2 days in advance of the pick-up time requested.

3. Customers will receive an e-mail confirmation of the date and time for pick-up.

4. Refunds will be processed in the manner in which the order was paid; exchanges may not be possible to be processed on the spot.

5. Any items that customers may wish to leave behind for return or exchange may be credited in the next order, if the customer wishes, or if under $10.

6. Any add-ons at pick-up time will be treated as a new and separate order; the administrative fee will apply for small orders. (Waiting time could be from half an hour to an hour depending on the add-on.) No verbal orders will be accepted; all orders must be placed through the computer in our showroom.

Loyalty Discounts & Coupons

1. Only one coupon will be accepted per order per household.

2. Coupons and special promotions can only be applied to orders made on the dates during which the coupon is in effect.

Special Promotions

1. From time to time, we run special promotions on select products for limited periods of time. This could be based on various reasons including bulk discounts that we negotiated with our vendors or clearance discounts on discontinued items.

2. Please note that when Special Promotions discounts are in conjunction with any other discount, the maximum of all applicable promotions and discounts shall not exceed 10%.

Payment Methods

1. All payments will be taken before an order is processed, packed and shipped.

2. We accept Visa, MasterCard, American Express, Pay Pal, Certified Cheque, Money Order, Direct Bank Transfer, E-mail Transfer and Wire Transfer.

Note: Wire Transfers must be made WITHOUT COST TO THE BENEFICIARY.

For Direct Deposit Payments, customers are encouraged to email us a copy of the confirmation of payment and send security message of interact-etransfer to ayursudha.ca@gmail.com

3. All credit card orders with a subtotal of $500.00 or more, or having a different bill-to and ship-to address, will require an authorization form to be filled out, signed and returned by the card holder.

4. We accept credit card for payments up to $5,000.00. Orders over $5,000.00 must be paid by Wire Transfer, Certified Cheque, Direct Deposit or Email Transfer only.

Shipping

1. Our default shipping agent is Purolator (for Canada) and DHL or Fed Ex (for all countries outside Canada).

1. Due to high Purolator, DHL and Fed Ex surcharges for certain rural areas, which are not reflected in the online shipping quote, Ayur-Sudha  has the right to change the courier for your order to Canada Post.

3. Orders are shipped from our central warehouse in Toronto, Canada. We currently ship by ground courier to all provinces in Canada.

4. Ayur-Sudha  takes no responsibility for any losses, damages or delays that may occur. Similarly, we must be notified should additional insurance be required. Without notification we ship products without insurance. Please note that transporters often do not heat their trucks in winter, nor refrigerate them in summer. This will not harm the integrity of the product. Simply leave the product at room temperature for 24 hours before opening. Occasionally, stirring the product before use will be required to regain its consistency.

5. We currently do not require orders to be signed when delivered. However should customers want the ‘signature required’ option, a fee of $10.00 will be charged by the carrier.

6. Additional Charges:

If you call the carrier to re-direct your parcel to another address, or if your address is input incorrectly or missing information, and requires the carrier to update the information, there will be a charge of between $10 and $15 that will be billed to the customer.

7. Alternative shipping methods are available on request; however, we take no responsibility for shipping that is arranged by our customers. This includes the following:

• Customers using their own shipping account
• Customers using their own courier
• Customers arranging for a third party to facilitate shipping.

Should a customer decide to handle their own shipping arrangements, we require that a WAIVER be signed. This ensures that we are not held responsible for any shipping issue outside of our control; similarly, in the event that we receive a shipping related invoice under these conditions, it will authorize us to process the customer’s credit card. Please note that in all instances where payment is required, a copy of the invoice will be forwarded with receipt for payment. Ayur-Sudha takes no responsibility for any loss, damages, or delay that may occur. Similarly, we must be notified should additional insurance be required. Without such notification, we ship products without insurance.

8. Essential Oils are classified as Hazardous Goods when shipped by air. Because of this only ground shipments are available for essential oils. Express shipments (Air) are available for the rest of the products.

9. We notify our customers for out-of-stock items. If we do not hear back from them within 2 business days, their orders will be shipped as-is and the balance will be refunded to them by the original method of payment. Out-of-stock items are NOT automatically shipped later when the stock is replenished, but must be reordered at that time. Regular ordering policies will apply.

10. For environmental reasons, packing slips will not be shipped with any order. Customers are encouraged to use a copy of the emailed invoice as a packing slip instead.

11. Ayur-Sudha  will not be held responsible for refunding the cost of freight for Expedited or Express shipments or on any orders that are delayed for reasons outside of our control.

Taxes

As of July 1st 2010, no company in Ontario will be tax exempt.

Customers in provinces that participate in HST will be charged their respective rates:

• New Brunswick – 13%
• Newfoundland & Labrador – 13%
• Nova Scotia – 15%
• Ontario – 13%
• Prince Edward Island – 14%

Customers in provinces that do not participate in HST will only be charged 5% GST – BC, Alberta, Manitoba, Quebec, Saskatchewan & Yukon. Customers who are picking up orders must pay Ontario’s 13% HST even if they are not from Ontario. The taxes will be charged when the orders are processed.

Order Cancellations

Orders are usually processed within three (3) hours of submission, though the actual amount of time will vary depending upon the season. Orders placed on the weekend may be processed before regular office hours on the Monday morning. All orders cancelled after they have been filled at the plant will be charged a 20% restocking fee.
